The Suzuken Group makes its basic policy to gradually increase the consolidated dividend payout ratio to a target of 30% based on the continuation of stable dividends, and will aim to increase dividends based on continuous increases in profits.
In regard to retained earnings, in the difficult environment surrounding the industry, we will distribute profits with a focus on business expansion and strengthening our operational base in order to secure our competitive superiority and maintain stable growth. |

Shareholder Benefit System

Suzuken has had a shareholder benefit system since 1996, but the company introduced selectivity into the system from 2008 in order to respond broadly to requests from shareholders. Suzuken would like to implement the shareholder benefit system in the future reflecting requests from shareholders in the content of benefits as far as possible. |

The State of Efforts Aimed at Revitalizing General Meetings of Shareholders and Facilitating the Exercise of Shareholder Voting Rights

Suzuken has prepared an environment enabling the exercise of shareholder voting rights via the Internet in order to increase convenience for shareholders. This system has been operating since the Ordinary General Meeting of Shareholders held in June 2006. In addition, from the Ordinary General Meeting of Shareholders held in June 2007, the company has participated in the Shareholder e-Voting Platform aimed at institutional investors.
The cornerstone of the company's policy toward General Meetings of Shareholders is thoroughgoing implementation of accountability. The company takes these meetings as the best opportunity it has to explain and communicate in detail directly to shareholders the management policy of the company and the state of efforts undertaken in all of its business measures. By using a big screen to explain its activities visually and other means, Suzuken is making various efforts to have shareholders deepen their understanding and trust of the company.
For shareholders to deepen their understanding of the details of Suzuken's management activities and investigate the proposals made at General Meetings of Shareholders more fully, the company sends out early notices on the convening of meetings (delivery three weeks before a General Meeting of Shareholders) and publishes such notices on its website. In addition, for shareholders who are unable to participate in a General Meeting of Shareholders, the company publishes on its website the "Report on the Business Report and Consolidated and Non-Consolidated Financial Statements," a video used at these meetings. |

Enhancement of IR Activities

- Since March 2007, the company has conducted individual investor explanatory meetings in order for individual investors to understand the Suzuken Group more thoroughly. In addition, Suzuken has been making efforts to strengthen communication with individual investors by participating in IR events in Nagoya, Tokyo, and Osaka, and by other means.
- Furthermore, Suzuken conducts regular surveys aimed at shareholders and at people participating in events for individual investors. By doing so, the company is making efforts to increase levels of satisfaction among shareholders and individual investors.
- On its website, Suzuken has a section titled "What's Suzuken?" that includes "A Quick Guide to Suzuken" to help people better understand the health-creating Suzuken Group.
- Suzuken announces the settlement of accounts twice a year for the interim and term-end periods, and holds regular explanatory meetings for analysts and institutional investors, with explanations given by the President and CEO himself.
- In addition, by other ways-such as directors' visits, response to requests for news material, and telephone conferences with foreign investors-Suzuken is making efforts toward ongoing communication with institutional investors and securities analysts.
- Moreover, in regard to IR materials, as well as publishing summaries of the settlement of accounts, a company data book, business reports, timely disclosure materials, and English versions of annual reports, on its website on a timely basis, Suzuken has a video of the regular explanatory meetings for analysts and institutional investors.
